  • 🚨 New Law Alert 🚨 
This has been a crazy and exciting week. I’ve been watching some senate bills and on Tuesday some great, (and one bad in particular) passed the second house, meaning these bills are going to the governor for a signature and will take effect on Jan 2, 2020. 
First great news for everyone who has been contemplating becoming an LLC. As it is currently every LLC has a minimum annual $800 FTB fee if they are making $250k or less in a year. One of the bills that passed will lower the minimum FTB fee for LLCs, using a sliding scale based on gross receipts. I already have clients who have contacted me for the December filing (the earliest we can file for 2020 without incurring the FTB fee for 2019), email me by mid-October if you want to get on the list and level up your business for 2020. desiree@desireenguyenlegal.com

Now for the bad news. AB5 has passed the second house with amendments pending. Remember the Dynamex decision with the ABC test to prove that a worker is NOT an employee?? This law codifies it— plain English, it’s about to be official.

  • Ok, so what do we do if our work is infringed and we didn't register the work before the infringement?

I'm really loving these swipeables. It helps me get out a lot of info in a single post, and I hope you guys are liking these graphics. 
Two posts ago, I talked about the requirement of registration in order to bring a Copyright lawsuit, and the registration should have happened before infringement if you want statutory damages. 
If you are like most photographers who did not register, you still have a couple of options. Swipe through for your next steps, in the order you should take them. 
Tip for settlement offers: I know you've probably been told to just send the infringer an invoice for using your work. The problem with this is that you are limiting yourself to this invoice amount, especially if things escalate and you decide to sue. The invoice will be used as proof of the upper limit of your actual damages. So don't send an ”invoice” send ”an offer to settle”, even better if it's a ”confidential offer if comprise”. Note: settlement letters are an art and the key to success is having a realistic understanding of everyone's position from the outset. Many attorneys representing companies who receive out-of-touch settle letters don't even respond to them. So seek professional help, at least to understand your position better. 
What is the DMCA? I bet you've heard of it in the context of protecting creatives. But this is not the whole picture, or even the intent of the DMCA. I'll give you the real info, how to use it, and who may be affected by it two posts from this.

  • I remember going through a really hard time in law school. I had just moved from Seattle to San Diego, moved in with my boyfriend, and said goodbye to all my friends. Coming from a pre-med background, competition was nothing new to me, nor was hard work. 
However, all the change and the sudden career shift really emphasized how isolated I felt. By my second year, I was exhausted and frustrated. An older student introduced me to yoga, and the whole concept of being present. 
That did the trick, at least to free up enough bandwidth to help me start examining what I wanted from my life for myself. I started making a conscious decision to live every moment with intention and purpose. I don't think I would have made it through without shifting my focus, or at least I'd probably be pretty unhappy and aggro. To this day, I try to live presently and I'm much happier for it.

  • As one of the perks of work, I've watched over 12 hours (and over $3,600) worth of the most up-to-date IP training videos. And now you reap the benefits!

One of the most common urgent requests I get is “Help! So-and-so stole my photo and is using it for xyz”. Most of the time So-and-so is a publication, blog, or website, and  XYZ is posting the photo for content. As an attorney, the first question I ask is *did you register the photo with the US Copyright office?* Guess what the answer always is?

1. In order to initiate a copyright lawsuit, you must register the work with the US Copyright Office. (And, as of March of this year, you must have the registration (or denial) *in hand* before you may file a suit)

2. If your work, specifically your copyright, is infringed before you register your work, you are *limited to actual damages*, not the statutory damages we're all so used to hearing about.

This means no attorneys fees and costs, you would have the burden of proving your loss or injury from the infringement, as well as the infringer's profits that are a direct result of using your work. 
This scenario is still worth pursing if:

1. The infringer clearly made a profit from the use (example: selling prints of your work)

2. You normally sell prints or licenses of your work, especially if you sell in limited quantities (you can establish a model of sale and thus loss of normal income— really great if your normal license rate is pretty high.) 3. If you want an injunction — you want them to stop infringing. 
So what do you do if you didn’t register before hand? Are you SOL? (Another fancy legal term for shit out of luck) Probably not, find out your options two posts from this.

  • Let’s do a #FridayIntroductions since it’s been a while. 
1. I am the Supervising Attorney of the Consumer Advocacy Project of the Bar Association of SF (i.e.: HBIC of all consumer related issues that come through the door of the SF Bar serving low-income clients throughout SF.) Part 1 of my job is running a clinic. Part 2 of my job is training other attorneys in consumer law and litigation. And part 3 of my job is to represent the SF Bar and participate in citywide, statewide, and nationwide consumer protection interest groups.

2. I am the HBIC at Desiree Nguyen Legal, my law firm where I take a holistic approach to protecting, advocating for, and counseling some of the most talented and successful leaders in the California creative industry. Seriously, I didn’t realize how spoiled I was until I started working in pro bono with in-house creatives. Let’s just say, it takes *a lot* of talent and business acumen to build a sustainable life based on your own creative business and those who don’t have it, get weeded out.

3. I am the HBIC of Creatives’ Legal Resource, my education company where I was providing articles to help creatives navigate the legal side of running a small business. This is my effort to help new small business owners who aren't quite ready to become a client. Because of my packed schedule, CLR has had to take a seat on the sidelines. So for now, Ig is my main outlet and some upcoming *FREE* workshop dates. Stay tuned!

4. After 6 blissful and rewarding years as a photographer, I am finishing my last contracts, and closing my photography business. Photography gave me exactly what I needed. I am so thankful for the experience, and I have such a deep understanding of what my legal clients are dealing with because I've seen it first hand. No other traditional attorney can be expected to have that I am truly grateful because I know I am giving my clients the best * possible * legal * service * they * can * get. 
And this little love monster is the thing that drives me when I have those days that make me ask why do I do this to myself.

So I’ve been asked about this a few times in passing over the last year, but last week, I had two serious questions about this. I’m sure this is on a lot of creatives' radar because someone (or a lot of people) is/are selling a template and making you feel like you need this to protect yourself. 
Termination “contracts” are not actually contracts, but rather a release. The nitty gritty is that there is no new consideration (new obligation or exchange between the parties) so there is no new contract. 
These releases work best in a B2B 🕴↔️🕴situation where the parties are not dealing with emotions, just a business transaction in which both parties are trying to CYA (a very formal legal term for cover your ass). When you’re dealing with clients who are just people hiring you for their wedding day 📸💑, it’s a whole different ballgame.  Imagine what it’s like for the client who just made the tough decision of not going through with their wedding, to then have to tell their friends, family, guests, and now vendors 💔. Getting them to sign a “new contract” in the midst of this drama is going to be a challenge at best and a bit off-putting for the client. Remember, the client experience is a large part of what defines your brand. Be sensitive to their needs, while still protecting your interest.

A well drafted contract will have a cancellation provision built in, with clear instructions for simple termination that releases the parties from the rest of their obligations under the contract (to all my clients, know I already got you). In addition to the unpleasantness of signing more paperwork during a very difficult time for your client, you may also confuse them, and likewise the termination "contract" may also contradict the terms of your original agreement.⚠️ Yet another example of how templates aren't made with your best interest in mind and another reason to save your money, and leave the important contracts for custom drafting by a pro. 💁🏻‍♀️

  • Back in the winter time ❄️☃️
Říká se, že život je jako roční období a každým rokem přijde čas zimy. Některé zimy jsou dlouhé, některé kruté a některé naopak krátké ale mrazivé. Jedno je ale jasné, těmto obdobím se nevyhnete.

V životě to může být období kdy se Vám zrovna nedaří, rozcházíte se s partnerem, vyhodí Vás z práce nebo zbankrotujete, ale je nutno si uvědomit že to vše je součástí života a tak jak ve Světě tak v životě po každé zimě vždy přijde jaro. Období kdy všechno kvete, přichází noví lidé a nové možnosti, které zde předtím nebyly.

Nejste to co si o Vás druzí myslí, nejste Vaší minulostí a nejste ani tím čeho jste doposud dosáhli. Jste tím, čím si myslíte, že jste. A já věřím že každý z Vás je unikátní. Věřte taky a uvidíte že Váš život se rapidně změní.

Pokud budete věřit, že za moc nestojíte a Svět je příliš krutý na to aby Vás odměnil a poskytl Vám příležitosti na plnohodnotný život, potom přesně tak bude Vaše realita vypadat.

    Někteří lidé se cítí jakoby si nezasloužili lásku. Někteří si myslí, že sny se plní jen v pohádkách a štěstí bylo na dosah naposled snad když jsme byli ještě děti.
    Já ovšem tvrdím, že život může být pohádka a každý z Vás je schopen z něho udělat velkolepou show. Je třeba si ale nejdřív uvědomit, že všechno dobré co se má ve vašem životě stát si právem zasloužíte.

  • Happy Friday! Something that comes up a lot is a request for a universal contract. For photographers, this means one contract for all sessions, weddings, and events. For Floral designers and planners, this means weddings, corporate events, and parties. ⁣⠀

But I recommend against a universal contract to cover all of the possible work scenarios you might have. Different scenarios have different needs and flexibility. A family session is more flexible than a wedding, and corporate event has less moving pieces than a wedding. And boudoir photography is a whole different beast that should definitely have its own contract.⁣⠀

Also, from a client standpoint, I would really question how on top of things my vendor is if they hand me a contract with a bunch of clauses that don’t apply to my particular service. ⁣⠀
⁣⠀
Finally, from a contracts standpoint, there needs to be a meeting of the minds, which is a common understanding in the formation of the contract. If you’re sending a contract with a bunch of terms that don’t apply to the specific scenario, it’ll be hard to parse out what was understood to apply to the relationship and what was not. ⁣⠀

In short, separate contracts for different types of work is the best way to go. ⁣⠀
